Please read these Terms and Conditions carefully before using our website or purchasing any of our services. These Terms govern your use of www.samanthaberendt.com (the "Website") and all services, sessions, workshops, classes, courses, certifications, digital content, and products offered by GEM+I, LLC, operating as Samantha Berendt ("the Company," "We," "Us," or "Our"), whether delivered online or in person (together, the "Services").

By accessing the Website, or by booking, purchasing, or participating in any of the Services, you ("You") agree to be bound by these Terms, by our Privacy Policy, and by our Disclaimers, both of which are incorporated into these Terms by reference. If you do not agree with any part of these Terms, please do not use the Website or the Services.

ELIGIBILITY

You represent that you are at least 18 years old and legally capable of entering into a binding contract. The Company does not permit those under 18 to use the Website or purchase the Services.

BOOKINGS, PURCHASES, AND YOUR INFORMATION

When you book a session or purchase a Service, you may be asked to provide information including your name, email, phone number, billing information, and scheduling details. You represent that the information you provide is true, correct, and complete, and that you have the legal right to use the payment method provided. Payment information is processed by third-party payment processors; by submitting it, you authorize us to share it with those processors to complete your purchase.

We reserve the right to refuse or cancel any booking or order at any time, including in cases of pricing or description errors, scheduling errors, or suspected fraudulent, unauthorized, or illegal transactions. If we cancel a booking or order you have already paid for, you will receive a full refund.

CANCELLATIONS, RESCHEDULING, AND REFUNDS

Individual sessions (readings, healings, and combined sessions): You may reschedule or cancel a session with at least 24 hours notice at no charge. Cancellations with less than 24 hours notice, and missed appointments ("no-shows"), are charged in full and are not refundable. If we need to reschedule a session, we will offer you a new time or a full refund. Sessions begin and end at their scheduled times; arriving late reduces your session time.

Workshops and classes: Workshop and class purchases are non-refundable, but if you notify us at least 24 hours before a live workshop begins, you may transfer your registration to a future date or receive access to the recording where available. Purchases of pre-recorded classes and digital content are final once access has been delivered, and by purchasing digital content you expressly consent to immediate delivery and acknowledge that you thereby waive any right of withdrawal.

Certification programs (including Intuition Mastery and Reiki certifications): You may withdraw from a certification program for a full refund, less any non-refundable deposit stated at enrollment, at any time before the end of the second week of the program. After the end of the second week, tuition is non-refundable and, if you are on a payment plan, all remaining installments remain due. If we cancel a program or cohort, you will receive a full refund of amounts paid for the cancelled program.

Refunds, where owed, are issued to the original payment method within 30 days.

PAYMENT PLANS

Where payment plans are offered, you agree to pay all installments on the dates scheduled. A payment plan is a commitment to pay the full program price, not a subscription; withdrawing from or ceasing to attend a program does not cancel remaining installments except as provided in the refund policy above. If an installment payment fails or is missed, we may suspend your access to the program, materials, and community until payment is brought current, and the remaining balance continues to be owed. Certificates of completion are issued only when tuition has been paid in full.

PRICES AND AVAILABILITY

We are regularly updating our offerings, and information on the Website may occasionally contain errors or inaccuracies relating to pricing, descriptions, or availability. We reserve the right to correct errors and to revise prices at any time prior to accepting an order. Price changes do not affect bookings or enrollments already paid.

INTELLECTUAL PROPERTY

The Website and the Services — including all course materials, workbooks, recordings, meditations, teaching methods, curricula, videos, audio, graphics, text, and other content (the "Materials") — are the exclusive property of GEM+I, LLC and Samantha Berendt and are protected by United States and international copyright, trademark, and other intellectual property laws. "Intuition Mastery" and the names of our programs and offerings are trademarks of GEM+I, LLC, whether or not registered.

When you purchase a Service, you receive a limited, personal, non-exclusive, non-transferable license to access and use the Materials for your own personal education and practice. You may not, without our prior written consent:

- Copy, reproduce, distribute, sell, resell, publish, or publicly display any of the Materials;

- Record any session, class, workshop, or training, in whole or in part, by any means;

- Share your account, program access, recordings, or Materials with any person not enrolled;

- Use the Materials to create, market, or teach your own courses, programs, or derivative works; or

- Use our trademarks, program names, or trade dress in connection with any product or service.

Completing a certification permits you to state that you have been certified by Samantha Berendt / GEM+I, LLC and to practice what you have learned; it does not license you to reproduce or teach our curriculum or Materials as your own. Violation of this section may result in immediate termination of your access without refund, in addition to any other remedies available to us at law.

COMMUNITY AND CONDUCT

Group workshops, classes, and certification cohorts are shared spaces. You agree to treat the facilitator and all participants with respect; to keep personal information shared by other participants confidential; and not to record group sessions or share other participants' information, likeness, or stories outside the group. We reserve the right to remove any participant whose conduct is, in our reasonable judgment, disruptive, disrespectful, or harmful to the group, without refund. Group sessions may be recorded for enrolled participants as described in our Privacy Policy.

TESTIMONIALS AND FEEDBACK

If you provide a testimonial, review, or feedback about the Services, you grant the Company a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, edit for length and clarity, publish, and display it, identified by your first name and general location, in our marketing and on the Website and associated social media. You may request removal of a published testimonial at any time by emailing us. You likewise assign to the Company all rights in any suggestions or ideas you send us regarding the Website or Services; if such assignment is ineffective, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use them without restriction.

NATURE OF THE SERVICES; NO GUARANTEES

The Services are metaphysical, educational, and complementary in nature. They are not medical, psychological, legal, or financial advice, and no specific results are promised or guaranteed. Our full Disclaimers, available on the Website, form part of these Terms, and by purchasing or participating in any Service you agree to them in their entirety.

PROMOTIONS

Any contests, sweepstakes, or promotions made available through the Website or our social media may be governed by separate rules. If the rules for a promotion conflict with these Terms, the promotion rules will apply to that promotion.

LINKS TO OTHER WEBSITES

The Website may contain links to third-party websites or services not owned or controlled by the Company. We have no control over, and assume no responsibility for, their content, policies, or practices, and we are not liable for any damage or loss caused by your use of or reliance on them. We advise you to read the terms and privacy policies of any third-party sites you visit.

TERMINATION

We may suspend or terminate your access to the Website or the Services immediately, without prior notice, if you breach these Terms, including the Intellectual Property and Community and Conduct sections. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination — including intellectual property provisions, disclaimers, limitations of liability, and payment obligations — survive termination.

LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the entire liability of the Company and its suppliers under these Terms, and your exclusive remedy, shall be limited to the amount you actually paid through the Website or the Services, or 100 USD if you have not made any purchase. To the maximum extent permitted by law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, without limitation, damages for loss of profits, loss of data, business interruption, personal injury, or loss of privacy) arising out of or related to the use of or inability to use the Website or the Services, even if advised of the possibility of such damages, and even if a remedy fails of its essential purpose. Some states do not allow the exclusion of implied warranties or the limitation of liability for incidental or consequential damages; in those states, each party's liability will be limited to the greatest extent permitted by law.

"AS IS" AND "AS AVAILABLE" DISCLAIMER

The Website and the Services are provided "AS IS" and "AS AVAILABLE," with all faults and without warranty of any kind. To the maximum extent permitted by law, the Company expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. DISPUTE RESOLUTION

If you have a concern or dispute regarding the Website or the Services, you agree to first attempt to resolve it informally by contacting us at hello@samanthaberendt.com. If the dispute cannot be resolved informally within 30 days, the parties agree to attempt in good faith to resolve it through mediation in California before pursuing any other remedy.

FOR EUROPEAN UNION AND UK CONSUMERS

If you are a consumer in the European Union or the United Kingdom, you retain the benefit of any mandatory provisions of the consumer protection law of the country in which you are resident, and nothing in these Terms limits those rights.

UNITED STATES LEGAL COMPLIANCE

You represent and warrant that you are not located in a country subject to a United States government embargo or designated by the United States government as a "terrorist supporting" country, and that you are not listed on any United States government list of prohibited or restricted parties.

SEVERABILITY AND WAIVER

If any provision of these Terms is held unenforceable or invalid, it will be modified and interpreted to accomplish its objectives to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect. The failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to do so at any later time, and waiver of one breach shall not constitute waiver of any subsequent breach.

If these Terms are translated, the original English text prevails in the event of a dispute.

CHANGES TO THESE TERMS

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice before the new terms take effect. By continuing to use the Website or the Services after revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Website and the Services.
